BidChat Terms of Use

Version 0.4 · Last updated 17 October 2026

Please read these terms carefully. They explain what BidChat does and does not do, what you are responsible for, what you pay, and the limits on our liability. By creating an account or using BidChat you agree to these terms. If you do not agree, do not use BidChat.

1. About these terms

1.1BidChat is provided by Dynasty Financial Pty Ltd (ABN 27 612 146 862) trading as BidChat (“we”, “us”, “our”).

1.2In these terms, “you” means the individual who registers for and uses a BidChat account. BidChat is a business tool. You use it in the course of your business as a mortgage broker, not for personal, domestic or household purposes.

1.3These terms, together with our Privacy Policy (available at bidchat.com.au/privacy) and any pricing or plan information shown to you on our website or at sign-up, form the agreement between you and us (the “Agreement”).

1.4Contact us at hello@bidchat.com.au. Our website is bidchat.com.au.

2. What BidChat is – and what it is not

This section is important. Please read it carefully.

2.1What BidChat does. BidChat is a drafting aid. It helps you put your own reasoning about how you have complied with the best interests obligations in Part 3-5A of the National Consumer Credit Protection Act 2009 (Cth) (including as discussed in ASIC Regulatory Guide 273 and ASIC Report 840) into written words for home loan files. It generates draft text based on information you give it.

2.2BidChat holds no compliance weight. BidChat does not assess, certify, approve or verify whether your advice, your recommendation or your file complies with the best interests duty, the conflict priority rule, responsible lending obligations or any other law, licence condition, licensee policy or aggregator requirement. Nothing BidChat produces means your advice or file is “compliant”, and BidChat is not approved, endorsed or reviewed by ASIC or any regulator, licensee or aggregator.

2.3You do the work and you remain responsible. You are solely and fully responsible for:

2.4AI drafts may contain errors. BidChat uses artificial intelligence to generate drafts. AI-generated text can be inaccurate, incomplete, out of date, inconsistent with what you told it, or simply wrong, and it may state things confidently that are not true. It may misdescribe a product, a figure or your reasoning. You must not use any draft without checking it against your own records and knowledge. Drafts are a starting point only.

2.5Not advice. BidChat does not provide credit assistance, credit services, financial product advice, legal advice, compliance advice or tax advice to you or your clients, and is not a substitute for your own professional judgement or for advice from your licensee, compliance adviser or lawyer. BidChat does not recommend any credit product to anyone.

2.6No relationship with your clients. BidChat has no relationship with, and owes no duty to, your clients. BidChat output is for your internal use in preparing your own records and must not be presented to anyone as having been prepared, checked or approved by BidChat.

2.7Frameworks and guidance may change. Content in BidChat that refers to laws, regulatory guides or reports reflects our understanding at the time it was written. Laws and regulator guidance change. We do not promise that BidChat reflects the latest position.

3. Who can use BidChat

3.1You may only register for and use BidChat if you are an individual aged 18 or over who is, and remains while using BidChat:

and you use BidChat in connection with your work as a mortgage broker in Australia.

3.2When you register you must give us accurate, current and complete information, including your name, email address, aggregator and licence role, and keep it up to date.

3.3You are responsible for making sure that your use of BidChat is permitted by your licensee’s and aggregator’s policies (including any policies on the use of AI tools or third-party software).

3.4We may ask you for information to confirm your eligibility (for example, your credit representative number or ACL number) and may suspend or close your account if you do not provide it or if you are not eligible.

4. Your account and login

4.1You log in using a one-time code sent to your registered email address. You must keep access to that email account secure, because anyone who can read your email can log in to BidChat as you.

4.2One person, one account. Your account is personal to you. You must not share your account, login codes or session with anyone else (including colleagues, assistants or other brokers in your business), and you must not let anyone else use BidChat through your account. Each person who uses BidChat needs their own account and subscription.

4.3One active session. Only one active session is allowed per account. Logging in on a new device or browser will end any other active session.

4.4You are responsible for all activity on your account. Tell us promptly at hello@bidchat.com.au if you think someone else has accessed your account or your email.

4.5We may end active sessions, require you to log in again, or suspend your account if we reasonably suspect your account is being shared or has been compromised.

5. Client personal information – do not enter it

5.1BidChat is designed to work without your clients’ personal information. You must not enter, paste or upload into BidChat any personal information about your clients or any other individual, including:

5.2Instead, describe the scenario in general, de-identified terms (for example, “first home buyer couple, both PAYG, wants an offset account”).

5.3BidChat includes automated safeguards that try to detect and remove or block some types of personal information (see clause 6 and our Privacy Policy). These safeguards are a backstop, not a guarantee. They will not catch everything, and they do not reduce your obligation under clause 5.1.

5.4You are responsible for complying with your own obligations under the Privacy Act 1988 (Cth) (including Part IIIA where relevant), the Australian Privacy Principles and the Privacy (Credit Reporting) Code, and your licensee’s policies, in relation to any information you enter into BidChat.

5.5If you enter personal information in breach of this clause, we may delete it (or the deal containing it) without notice.

6. Uploads

6.1You may upload documents only if they are lender product comparisons (for example, a product comparison or serviceability summary exported from your aggregator software or lender comparison tool) that relate to the deal you are working on.

6.2When you upload a file, BidChat:

6.3Extracted product data is deleted 24 hours after extraction. Further detail is in our Privacy Policy.

6.4You must check your upload before you submit it and remove any personal information that is not needed. Automated redaction and rejection may not work perfectly, and may occasionally reject a valid comparison.

6.5You must only upload material that you have the right to use and to provide to us for the purpose of using BidChat.

7. Plans, pricing and payment

7.1Subscription. BidChat is offered as a monthly subscription. For current pricing and plan limits, please see the pricing section of our website (bidchat.com.au). The price and plan limits that apply to you are those shown on our website or at checkout at the time you subscribe (as changed from time to time under clauses 7.8 and 7.10). All prices are in Australian dollars and include GST unless stated otherwise.

7.2Introductory offers. Any introductory or founding price, and how long it lasts, is shown on our website or at checkout. Unless the offer says otherwise, when an introductory price ends your subscription automatically continues at the standard price then shown on our website, unless you cancel before then.

7.3Deals included. Each monthly billing period includes the number of deals shown for your plan. A “deal” is a single home loan scenario you create in BidChat (including a deal created by duplicating an existing deal). A deal counts towards your allowance when it is created.

7.4No rollover. Unused deals from your monthly allowance do not roll over to the next billing period and have no cash value.

7.5Top-ups. We may offer top-ups of additional deals. The price, number of deals and validity period of a top-up are shown at the time of purchase. Top-up deals are used only after your monthly allowance for the current period has been used.

7.6Top-up expiry. Top-up deals are valid for the period shown at the time of purchase. Unused top-up deals expire at the end of that period, are not refundable (subject to the Australian Consumer Law) and have no cash value. If your account is closed, unused top-up deals are forfeited.

7.7Fair use. BidChat is provided on a fair-use basis. Fair use means reasonable usage to generate meaningful commentary for your allocated deals. Your plan includes limits – for example, on the number of deals per billing period, messages per tab in each deal and comparison uploads per deal. The limits that apply to you are those shown on our website, at checkout or in BidChat at the time. Our limits are set using testing of complex scenarios, so they are intended to comfortably cover genuine use.

7.8If you reach a limit for a deal, you will not be able to send further messages or uploads in that deal. We may suspend or limit your account if your use falls outside fair use – for example, automated use, account sharing, or off-topic use (see clauses 4, 10 and 14). We will give notice under clause 18 before reducing the limits that apply to your plan.

7.9Payment. Payments are processed by our payment provider, Stripe. We accept payment by card only. By subscribing you authorise us (through Stripe) to charge your nominated card at the start of each billing period, and for any top-ups you buy, until you cancel. We do not receive or store your full card details. Stripe’s own terms may also apply to you.

7.10Price changes. We may change our prices. We will give you at least 30 days’ notice by email before a price increase applies to your subscription. If you do not want to pay the new price you may cancel before it takes effect. Price changes do not affect an introductory price you have already been given, for the period it was offered.

7.11Tax invoices. Tax invoices/receipts are available through the billing portal. We are registered for GST.

8. Failed payments

8.1If a payment fails, we (or Stripe) will try to take payment again and let you know by email. You will continue to have access for a grace period of 7 days from the failed payment.

8.2If payment has not been made by the end of the grace period, your account will be suspended until payment is made. While suspended you cannot create or open deals. Your data continues to be subject to our normal retention periods (for example, deals are still automatically deleted 45 days after creation).

8.3If your account remains suspended for non-payment for 60 days, we may cancel your subscription and close your account. We will email you before we do this.

9. Cancellation and refunds

9.1Cancel at any time through the billing portal linked from your account. Cancellation takes effect at the end of your current billing period, and you keep access until then. You will not be charged again after cancellation takes effect.

9.2No refunds. Subject only to the Australian Consumer Law (see clause 15), we do not provide refunds or credits in any circumstances, including for part of a billing period, unused deals in your monthly allowance, unused or expired top-up deals, suspension or closure of your account, or changes to or discontinuation of BidChat.

9.3You can also delete your account at any time from within BidChat. Deleting your account cancels your subscription and permanently deletes your account data, except billing records we and Stripe must keep by law and limited data held for a short time by our providers (for example, AI abuse-monitoring data kept by Microsoft for up to 30 days), as described in our Privacy Policy. Deletion cannot be undone.

10. Acceptable use

10.1You must use BidChat only for its intended purpose: helping you draft written explanations of your own best interests duty reasoning for Australian home loan deals.

10.2You must not, and must not attempt to, or help anyone else to:

10.3We may monitor usage patterns (such as volumes, limits reached and safeguard triggers) to detect misuse and protect the service. We do not routinely read the content of your deals, but we may review it where reasonably necessary to investigate suspected misuse, a security incident, a support request you make, or where required by law.

11. Intellectual property

11.1Your content. As between you and us, you own the information you enter into BidChat and the text BidChat generates for you (“your generated text”). To the extent we have any rights in your generated text, we assign them to you on creation. You can use your generated text as you see fit, subject to these terms and the law.

11.2Licence to us. You give us a non-exclusive, royalty-free licence to host, copy, process and transmit your content and generated text only as needed to provide, secure and support BidChat for you, and to comply with law. We do not use your content to train AI models, and our AI provider (Microsoft Azure OpenAI) does not use it to train models. Microsoft may retain prompts and outputs for up to 30 days solely for abuse monitoring, as described in our Privacy Policy.

11.3Our IP. We (or our licensors) own all rights in BidChat itself, including its software, design, prompts, frameworks, question flows, templates, wording libraries and documentation. Except for your rights in your generated text under clause 11.1, nothing in these terms transfers any of our intellectual property to you. We grant you a personal, non-transferable, non-exclusive, revocable licence to use BidChat in accordance with these terms while your subscription is active.

11.4Feedback. If you send us feedback or suggestions (including through the in-app feedback feature), we may use them freely without obligation to you. Feedback reports are handled as described in our Privacy Policy.

12. Your data and retention

12.1BidChat is built to keep as little data as possible for as short a time as possible. In summary:

12.2BidChat is not a record-keeping system. You are responsible for copying any generated text you want to keep into your own client file or CRM before the deal is deleted. We cannot recover deleted deals. Nothing in BidChat satisfies your record-keeping obligations under the NCCP Act or your licensee’s policies.

12.3Full details of how we handle personal information are in our Privacy Policy.

13. Availability and changes to BidChat

13.1We aim to keep BidChat available and working well, but we do not promise that it will be uninterrupted, error-free or available at any particular time. BidChat may be unavailable during maintenance, updates, outages of our hosting, AI, email or payment providers, or for reasons outside our control.

13.2We may change, add or remove features of BidChat from time to time. If we make a change that materially reduces the core functionality of your subscription, we will tell you and you may cancel under clause 9. No refund is payable, subject to the Australian Consumer Law.

13.3We may stop offering BidChat altogether by giving you at least 30 days’ notice. We will not charge you for any billing period that starts after BidChat stops. No refund is payable, subject to the Australian Consumer Law.

14. Suspension and termination by us

14.1We may suspend your access to BidChat immediately, without prior notice, if we reasonably believe that:

14.2Where reasonable, we will tell you why we have suspended your account and give you an opportunity to respond or fix the issue. We will lift the suspension if the issue is resolved to our reasonable satisfaction.

14.3We may terminate your account by notice if you seriously or repeatedly breach these terms, if a breach that can be fixed is not fixed within 14 days of us asking you to fix it, or if you remain ineligible.

14.4Clauses 2, 11, 15, 16, 17 and 20, and any other terms that by their nature should survive, continue after your account ends.

15. Australian Consumer Law

15.1Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition implied or imposed by the Australian Consumer Law or any other law, that cannot lawfully be excluded, restricted or modified (“Non-excludable Rights”).

15.2Our services come with guarantees that cannot be excluded under the Australian Consumer Law. If you are entitled to Non-excludable Rights, then, to the extent the law permits (including under section 64A of the Australian Consumer Law, because BidChat is not of a kind ordinarily acquired for personal, domestic or household use), our liability for failure to comply with a guarantee is limited, at our option, to:

15.3If a failure to comply with a consumer guarantee cannot be limited in that way, the limit does not apply to that failure.

16. Limitation of liability

16.1Disclaimer. Except for Non-excludable Rights and the express promises in these terms, BidChat is provided “as is” and “as available”, and we exclude all other warranties and representations, including any warranty that drafts will be accurate, complete, fit for any particular purpose, or compliant with any law, regulatory guide or policy.

16.2Your responsibility for outcomes. Because you remain fully responsible for your advice, your product comparison, your compliance and for reviewing every draft (clause 2), to the maximum extent permitted by law we are not liable for any loss arising from: advice you give or recommendations you make; your compliance or non-compliance with the NCCP Act, ASIC guidance, licence conditions or any licensee or aggregator policy; any regulatory action, audit finding, complaint, AFCA determination, remediation or claim against you or your licensee; or your use of or reliance on any draft without proper review.

16.3Indirect loss. To the maximum extent permitted by law, neither party is liable to the other for any loss of profit, revenue, business, goodwill, opportunity or data, or any indirect or consequential loss, however caused (including by negligence).

16.4Cap. To the maximum extent permitted by law, and subject to clause 15, our total aggregate liability to you arising out of or in connection with the Agreement or BidChat, however caused (including by negligence), is limited to the total fees you paid us in the 12 months before the event giving rise to the claim.

16.5Reduction. Our liability is reduced to the extent any loss is caused or contributed to by you, including by your breach of these terms or your failure to review a draft.

16.6Nothing in this clause limits liability for fraud, wilful misconduct, or anything else that cannot be limited by law.

17. Indemnity

17.1You indemnify us against any loss, liability, cost (including reasonable legal costs) or claim by a third party (including your clients, your licensee or a regulator) to the extent it arises from: (a) your breach of clause 4, 5, 6 or 10; (b) your use of generated text in your business, including advice you give; or (c) your breach of any law in connection with your use of BidChat. Your liability under this indemnity is reduced to the extent the loss was caused or contributed to by our breach of these terms or our negligence.

18. Changes to these terms

18.1We may update these terms from time to time, for example to reflect changes to BidChat, our pricing structure, the law or regulator guidance.

18.2For changes that are materially adverse to you, we will give you at least 30 days’ notice by email and in BidChat before they take effect. If you do not agree to the change, you may cancel your subscription before it takes effect. No refund is payable, subject to the Australian Consumer Law.

18.3For other changes (such as corrections, clarifications or changes that benefit you or are required by law at short notice), we will post the updated terms on our website and they take effect when posted.

18.4If you keep using BidChat after a change takes effect, you are taken to have accepted the updated terms.

19. Notices and communications

19.1We will send notices to the email address registered on your account, and they are taken to be received when sent unless we receive a delivery failure. You can send notices to us at hello@bidchat.com.au.

19.2You agree to receive service-related emails (such as login codes, deal deletion reminders, billing, security and changes to these terms). These are part of the service and cannot be switched off while you have an account.

20. General

20.1Governing law. These terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales and courts competent to hear appeals from them.

20.2Disputes. If you have a complaint or dispute, please contact us first at hello@bidchat.com.au so we can try to resolve it.

20.3Severance. If any part of these terms is invalid or unenforceable, it is read down or severed to the extent necessary, and the rest continues in force.

20.4Assignment. You may not transfer your account or rights under these terms. We may transfer our rights and obligations under these terms to an entity that takes over the BidChat business (including a related entity), and will notify you if we do.

20.5Entire agreement. The Agreement is the entire agreement between you and us about BidChat and replaces any earlier understanding, subject to Non-excludable Rights.

20.6No waiver. A failure or delay in exercising a right is not a waiver of it.

20.7Force majeure. We are not liable for any delay or failure caused by events outside our reasonable control, including outages of third-party hosting, AI, email or payment providers.
